Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "your") and Jokai ("we", "us", "our"), the operator of the Jokai platform. By creating an account or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

1. Acceptance of terms

These Terms apply to all visitors and registered users of the Service. By accessing or using Jokai, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of service

Jokai is an online translation platform for visual and literary content including manga, webtoons, comics, and light novels. The Service provides optical character recognition (OCR), machine translation, image inpainting, a visual editor, collaboration tools, and export features. We may modify, suspend, or discontinue any part of the Service at any time.

3. Accounts & eligibility

You must be at least 16 years old (or the age of digital consent in your country) to create an account. If you are under 18, you confirm that your legal guardian has reviewed and agreed to these Terms on your behalf.

• You must provide accurate, current, and complete information at registration.
• You are responsible for keeping your password secure and for all activity under your account.
• You must notify us immediately of any unauthorized use of your account.
• One person or organization may not maintain multiple accounts to circumvent plan limits.

4. Plans, credits & billing

Jokai offers several subscription plans described on our Pricing page. Paid plans are billed in advance on a monthly or annual basis through our payment provider.

Credits

• Certain operations (OCR, translation, inpainting) consume credits.
• Paid plan credits reset monthly. Unused monthly credits do not roll over.
• If you downgrade or your plan ends, credits above the new plan's grant are banked for 30 days and restored when you subscribe again.
• Free plan credits are a one-time grant and do not refill.
• When you use your own API key (BYOK) for translation, those translations consume zero credits.
• Credits have no cash value and are non-transferable.

Payment & renewal

• Subscriptions renew automatically at the end of each billing period until cancelled.
• You may cancel at any time from your account settings; access continues until the period ends.
• Fees are non-refundable except where required by applicable law. If a jurisdiction mandates a refund window, contact us within that period.
• We may change our fees with at least 30 days' notice before the next renewal.

5. Your content & licenses

"Content" means all images, text, documents, and other material you upload or create through the Service. You retain all ownership rights in your Content.

• You grant Jokai a limited, worldwide, non-exclusive license to host, store, process, and display your Content solely as needed to operate the Service for you.
• The translations and rendered output you produce are yours. We claim no ownership over your outputs.
• You may delete your Content and projects at any time from the Service.

Copyright complaints

If you are a rights holder and believe that Content processed through the Service infringes your copyright, you may submit a takedown request via our contact page identifying the protected work and the infringing material. We will review the request, remove or disable access to clearly infringing Content, and may suspend or terminate the accounts of repeat infringers.

6. Acceptable use

You agree not to:

• Upload, translate, or distribute Content that infringes the intellectual property rights of others;
• Upload or process Content obtained through piracy, leaks, or other unauthorized distribution of source material;
• Upload or process Content that is pornographic or sexually explicit, or that sexualizes minors in any form (including illustrated or AI-generated material);
• Use the Service to process unlawful, defamatory, or harmful material;
• Attempt to reverse engineer, decompile, or extract our models, pipelines, or source code;
• Scrape, overload, or otherwise disrupt the Service or its infrastructure;
• Share your account credentials or resell access to the Service without authorization;
• Circumvent rate limits, plan limits, or security measures;
• Use the Service to train competing machine-learning models.

7. Intellectual property

The Service — including its software, design, OCR pipeline, translation integrations, editor, and brand — is owned by Jokai and protected by intellectual property laws. These Terms grant you no right, title, or interest in the Service except the limited right to use it in accordance with these Terms.

8. Term, suspension & termination

These Terms apply for as long as you use the Service or maintain an account. We may suspend or terminate your account if you violate these Terms, if your activity creates risk or legal exposure for us, or if required by law. You may close your account at any time.

Upon termination, your right to use the Service ends. Your subscription stops renewing and credits are not paid out (they have no cash value, per section 4). We may retain your Content for a limited period to permit export before permanent deletion, after which it is removed. Sections 5, 7, 9 and 10 survive termination.

9. Disclaimer & limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind. Machine translation and OCR are inherently imperfect; you are responsible for reviewing all output before publication. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Jokai shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data or profits arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold harmless Jokai from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from Content you upload, process, or publish through the Service, or from your violation of these Terms or of any third party's rights — including copyright in the material you translate.

10. Assignment

You may not assign or transfer your account or these Terms to any other person or entity without our prior written consent. We may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, or sale of assets, with notice to you.

11. Changes to terms

We may update these Terms from time to time. We will notify users of material changes by email or in-app at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
